Assistant General Counsel
ASSISTANT GENERAL COUNSEL, CORPORATE
LEGAL DEPARTMENT – NEW YORK, NY
COTY is looking for an experienced and business minded corporate and securities lawyer to provide advice on public company matters, corporate governance, securities and finance, including supporting a sophisticated and innovative business agenda.
At least 6 years of deep legal experience in U.S. corporate and securities law matters, including SEC reporting, NYSE compliance, state law corporate matters, and financial and strategic transactions. Cross-border transactional experience is preferred but not required. Should also have general knowledge of debt and credit instruments, executive compensation, SOX and other key corporate areas. Experience with or passion for sustainability matters is a plus.
Position is based in NY. Should have at least four years’ experience with a well-regarded law firm corporate practice, with additional in-house or SEC experience a plus.
This position requires working collaboratively with legal colleagues and other functions around the world (including treasury, finance, accounting, SEC reporting, investor relations, executive compensation, compliance, corporate affairs and sustainability teams), providing timely and business-oriented legal advice on a broad remit of corporate and securities law matters.
This is a highly visible role within Coty that demands sound judgment, strategic insight and the ability to seamlessly handle significant demands in a fast-paced environment. Well-developed ability to understand and explain risks and draft effective disclosure.
Experience advising public companies in corporate governance and SEC reporting is a must.
In this role you will be responsible for:
- Taking a leading role in drafting, reviewing and collaborating on SEC filings (including periodic and current reporting, proxy statements, S-8s, Form SDs and Section 16 filings) and various ongoing reporting obligations in connection with listed securities;
- Ensuring compliance with applicable securities laws and NYSE listing requirements;
- Supporting other public company governance and compliance matters (including earnings release process, stockholders' meetings, investor presentations, etc.);
- Assisting with corporate governance matters, including board, committee and shareholder matters, and with maintenance of related policies and charters;
- Collaborating with finance, accounting, investor relations, and public relations teams on earnings-related materials and other disclosures to the investor community and investor engagement;
- Administering public company policies and procedures, including compliance with the insider trading policy and Regulation FD compliance;
- Providing support as needed for strategic transactions, treasury and capital market transactions, and other general corporate matters;
- Overseeing international entity management and compliance with related regulatory obligations;
- Providing advice and support related to sustainability reporting and evolving global sustainability reporting regulations, and liaising with the Sustainability Office on disclosure and other regulatory matters; and
- Managing and working with outside counsel as necessary.
